Terms of Service

These Terms of Service ("Terms") are an agreement between you and BEH Labs LLC ("BEH Labs," "we," "us," or "our") governing your access to and use of SoriGamis, including its applications, websites, and related services (the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the Service.

You must be at least 13 years old to use SoriGamis. Where the law where you live sets a higher minimum age for agreeing to these Terms or for consenting to the processing of your personal information — up to 16 in parts of the European Economic Area — that higher age applies to you.

If you cannot legally agree to these Terms on your own where you live, a parent or legal guardian must authorize your use and agree to these Terms for you.

If you use SoriGamis for an organization, you represent that you have authority to accept these Terms for that organization. In that case, "you" includes the organization.

Trade compliance

You represent that you are not located in or ordinarily resident in a country or territory subject to comprehensive economic sanctions, and that you are not a person with whom applicable trade-control law prohibits dealing. You may not use the Service, or allow it to be used, in violation of export-control or sanctions law.

You must provide accurate account information, keep it current, protect your credentials, and promptly tell us about suspected unauthorized access. You are responsible for activity through your account to the extent permitted by applicable law.

Do not share credentials in a way that compromises the Service or another person's information. You may not use another person's account without authorization.

If you turn on device biometric unlock for the app, your fingerprint or face is verified by your device's operating system, which tells the app only whether the check succeeded. BEH Labs does not receive or store the fingerprint, face geometry, or other biometric data used to unlock your device or the app.

Microphone permission is not participant consent.

Before recording, uploading, or processing content, you must have all necessary rights, permissions, and legal authority.

You are responsible for giving any notice and obtaining any consent required by recording, privacy, employment, confidentiality, intellectual-property, or other applicable laws and agreements. Laws differ by location and circumstance, so a recording that is lawful in one setting may not be lawful in another.

Ask before you record

Ask every participant for permission before you begin recording, and record only after they agree. When you use SoriGamis, asking first is required even where a one-party-consent law might allow you to record without it.

All-party consent

Many places require the consent of every participant before a conversation may be recorded, not only the consent of the person starting the recording. Some places require that consent before the conversation begins. You are responsible for knowing which rule applies to each conversation you record and for meeting it.

By recording or uploading a conversation, you represent that you have obtained every consent required for that conversation from every participant, in the form and at the time the applicable law requires.

Voice identification and biometric consent

A voice can identify the person it belongs to. SoriGamis analyzes voice characteristics to attribute speech to speakers, and some biometric privacy laws treat voice-derived data as a biometric identifier that may be collected only after written notice to, and a written release from, the person it identifies.

Where such a law applies to a conversation you record, you must give that notice and obtain that written consent from every participant before the recording begins. The Privacy Policy describes the purpose, limits, retention schedule, and destruction of voice-derived data.

Any recording notice or consent feature the Service provides can help you give notice, but using such a feature does not by itself satisfy these obligations.

Declining and withdrawing

Do not record a person who has declined to be recorded. If a person withdraws consent during a conversation, stop recording and delete the affected recording unless another lawful basis clearly requires you to keep it. A person who asks you to stop is not required to explain why.

Places and conversations that are off limits

Do not record where recording is prohibited or where participants have a reasonable expectation that they are not being recorded, including private conversations you are not part of, spaces where people undress or receive care, and proceedings that restrict recording.

People included in a recording

A recording may contain personal information about people who do not have a SoriGamis account and have no relationship with us. If you believe SoriGamis holds information about you inside another person's content, contact us at [email protected]. The Privacy Policy describes how we handle those requests.

SoriGamis helps users record or upload audio, create transcripts, organize work records, generate summaries and action items, and ask questions about submitted content. Available features, limits, and supported platforms may vary by account, plan, device, region, or release.

Beta, preview, experimental, and early-access features may be incomplete, may change, and may be withdrawn at any time. Do not rely on them for uninterrupted availability or permanent data storage.

Some messages are part of the service and are not optional while you have an account: sign-in codes, security and account notices, billing and subscription messages, and changes to these terms or the Privacy Policy. Turning off marketing email does not stop these, because they are how the account works.

Product news, tips, and offers are separate and optional. Every one carries an unsubscribe link, unsubscribing takes effect for future marketing messages, and declining costs you nothing in the service itself.

We send these ourselves. We do not hand your contact details to other companies so they can market to you, and we do not use recording audio, transcripts, or the records generated from them to decide what to market to you. The Privacy Policy governs what would have to happen first if that ever changed, including the opt-out controls we would publish before it did.

Transcripts, summaries, action items, decisions, titles, and Ask AI responses may be AI-generated or AI-assisted.

Outputs may be false, incomplete, misleading, outdated, incorrectly attributed, or unsuitable for your purpose. Similar or identical output may be generated for other users.

Verify important information against the source recording before relying on or sharing it. Consequential professional advice or decisions require qualified human review.

SoriGamis is not a substitute for a licensed professional, and its output is not medical, legal, financial, or other professional advice.

You may not use the Service, its output, or access to its systems to do, facilitate, or help another person do any of the following:

Illegal conduct, privacy, and surveillance

• Engage in illegal activity, make an unlawful recording, or infringe another person's intellectual-property or other rights.
• Record a person who has declined to be recorded, continue recording after a participant withdraws consent or asks you to stop, or conceal that a recording is being made from someone entitled to know.
• Access, collect, or disclose private, confidential, biometric, health, or other sensitive information without permission or legal authority.
• Derive, match, or maintain a voiceprint or other biometric identifier from content, or use output from the Service to identify a person by their voice, except that the Service's built-in speaker-attribution features may distinguish and label speakers within a single recording made with every consent these Terms require.
• Conduct covert surveillance or unauthorized tracking, or perform emotion recognition, trustworthiness scoring, or social scoring.

Child safety

• Sexually exploit or endanger minors, including through grooming, trafficking, sextortion, sexualization of minors, or child sexual abuse material.

Safety, deception, and civic integrity

• Promote or facilitate violence, hateful abuse, or self-harm, or use the Service for fraud, phishing, spam, impersonation, deceptive content, or election manipulation.
• Present AI output as human-generated when doing so would mislead another person.

Service and model abuse

• Bypass safeguards or access controls, reverse engineer the Service, engage in model scraping or model distillation, or use the Service to train competing AI systems without authorization.

High-impact decisions

• Make automated consequential decisions involving healthcare, legal rights, finance, insurance, employment, housing, or admissions without required qualified human review.

SoriGamis is a general-purpose recording and note-taking service. It is not designed, offered, or certified for regulated data programs.

BEH Labs does not act as a HIPAA business associate and does not enter business associate agreements. Do not submit protected health information as a covered entity or business associate. Do not submit payment card data, government-issued identification numbers, or information subject to export control, classification, or a similar restricted-handling regime.

If you record conversations that carry professional duties of confidentiality, including legal, medical, financial, educational, or counseling settings, you are responsible for determining whether those duties permit you to use SoriGamis and for obtaining any additional consent or authorization those duties require. Submitting content to SoriGamis discloses it to the providers described in the Privacy Policy.

Recording a child requires the consent of a parent or legal guardian where applicable law requires it, in addition to the account eligibility rules above.

We may investigate suspected violations and take proportionate action, including limiting content or features, suspending or terminating access, preserving relevant information, or notifying appropriate authorities when required or permitted by law.

Enforcement decisions may consider the nature, severity, frequency, and context of the conduct; risk to people or the Service; and applicable legal obligations. We may act without advance notice when reasonably necessary to prevent harm, protect the Service, or comply with law.

Asking us to reconsider

If we limit, suspend, or terminate your access, you may ask us to reconsider by writing to [email protected] and telling us why you believe the decision was mistaken. We will review the request and tell you the outcome. Where the decision was made by automated means, you may ask for review by a person. Nothing here obliges us to restore access, and none of it limits a right you have under applicable law.

As between you and BEH Labs, you retain your rights in recordings, transcripts, prompts, files, and other content you submit to the Service ("Your Content"). You grant BEH Labs a non-exclusive, worldwide license to host, copy, process, transmit, display, and otherwise use Your Content only as reasonably needed to deliver the features you use, operate and secure the Service, respond to your support requests, comply with law, and enforce these Terms.

We do not train AI models on Your Content

BEH Labs does not use Your Content to train, fine-tune, or otherwise develop artificial-intelligence models, and does not authorize the providers described in the Privacy Policy to use Your Content to train their models.

The license above covers running the features you ask for, keeping the Service working, and diagnosing problems. It does not permit model training, and it does not permit selling or licensing Your Content to another company.

We may use aggregate operational measurements that describe how the Service performs — such as counts, durations, error rates, and latency — to maintain and improve it. Those measurements do not include your recordings, transcripts, prompts, or generated records.

You represent that you have the rights needed to provide Your Content and grant this license. The license ends when Your Content is deleted from our systems, except to the extent continued retention is reasonably necessary for backups, legal compliance, security, fraud prevention, dispute resolution, or enforcement as described in the Privacy Policy.

BEH Labs and its licensors retain all rights in the Service, including its software, designs, branding, and documentation. These Terms do not grant you rights to use BEH Labs trademarks or other intellectual property except as needed to use the Service under these Terms.

BEH Labs responds to notices of claimed copyright infringement about material stored on the Service, and terminates the accounts of repeat infringers in appropriate circumstances.

Reporting infringement

Send notices to our designated agent at [email protected]. A complete notice includes your physical or electronic signature; the work you claim is infringed; the material you want removed and enough detail for us to locate it; your name, address, and telephone number or email address; a statement that you believe in good faith the use is not authorized by the copyright owner, its agent, or the law; and a statement, made under penalty of perjury, that the notice is accurate and that you are the owner or are authorized to act for the owner.

Knowingly misrepresenting that material is infringing can make you liable for damages, including costs and legal fees, under 17 U.S.C. § 512(f).

Counter-notice

If we remove material you submitted, you may send a counter-notice to the same address containing the elements the Digital Millennium Copyright Act requires. We may restore the material as that statute permits, and we may pass your counter-notice to the person who complained.

When you use SoriGamis for an employer, client, or other organization, that organization decides what is recorded, why it is recorded, and how long the resulting records are kept. BEH Labs handles that content under these Terms and the Privacy Policy.

The organization is responsible for the lawfulness of its recording practices, for notice and consent to the people its users record, and for its own obligations to employees, customers, and regulators.

An organization that administers accounts may be able to access, retain, export, or delete content in the accounts it controls, and, where the Service provides those controls, may set or change recording and retention settings. If your account is administered by an organization, direct requests about that content to the organization first.

Organizations that require a data processing agreement, a current list of subprocessors, or notice of subprocessor changes may request them at [email protected].

If you voluntarily provide ideas, suggestions, or feedback, you grant BEH Labs a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate that feedback without restriction or compensation. Do not submit feedback you are not authorized to provide.

Paid features may be offered through an app store or another purchase channel. Prices, billing intervals, taxes, trial terms, renewal terms, and payment methods are shown at purchase and are governed by the applicable app-store or purchase terms.

A subscription renews automatically only when the applicable app-store or purchase terms say it will. Cancel through the store or purchase channel identified for your subscription and within the time required by its terms to avoid renewal. Cancellation normally takes effect at the end of the current paid period unless the applicable purchase terms or law provide otherwise.

Refund eligibility and processing are governed by the applicable app-store or purchase terms and applicable law. Canceling a subscription does not by itself delete your SoriGamis account or content.

The Service may depend on or connect to third-party services, including app stores, authentication, storage, transcription, language-model, hosting, and subscription providers. Your use of a third-party service may be governed by that provider's own terms and privacy practices.

We do not control third-party services and are not responsible for their independent acts, content, or availability, except to the extent applicable law provides otherwise. You are responsible for reviewing and managing the permissions you grant to connected services.

We may modify, limit, suspend, or discontinue all or part of the Service. We may provide notice where reasonably practicable of a material discontinuation, but urgent security, legal, or operational circumstances may require immediate action.

You may stop using the Service at any time and may request account deletion as described in the Privacy Policy. We may suspend or terminate access if you materially or repeatedly violate these Terms, create risk or harm, fail to pay applicable charges, or when required by law.

What happens to your content

While your account is open you can export Your Content using the features the Service provides. If we suspend or terminate your access for a reason other than an urgent legal, safety, or security need, we will where reasonably practicable give you a reasonable opportunity to export Your Content before it is removed.

After an account is closed, Your Content is deleted as described in the Privacy Policy, which also explains the copies that may persist in backups or be kept for legal compliance, security, fraud prevention, or dispute resolution.

Provisions that by their nature should survive termination remain in effect, including provisions concerning ownership, feedback, disclaimers, liability, indemnification, disputes, and general terms.

To the maximum extent permitted by law, the Service is provided "as is" and "as available." BEH Labs disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service or output will be uninterrupted, error-free, accurate, secure, or suitable for a particular purpose. These disclaimers do not exclude any warranty or consumer right that cannot lawfully be excluded where you live.

To the maximum extent permitted by law, BEH Labs and its directors, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities, arising from or related to the Service or these Terms.

To the maximum extent permitted by law, the total liability of BEH Labs and those persons for all claims arising from or related to the Service or these Terms will not exceed the greater of $100 or the amount you paid for the Service during the 12 months before the event giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be limited or excluded, and they do not limit any non-waivable consumer protection or remedy available where you live.

To the extent permitted by law, you will defend, indemnify, and hold harmless BEH Labs and its directors, officers, employees, and agents from third-party claims, damages, losses, and reasonable costs arising from Your Content, your unlawful recording or use of the Service, or your material violation of these Terms or another person's rights. This obligation does not apply to the extent a claim results from BEH Labs' own negligence, willful misconduct, or violation of law, and it does not apply where prohibited by applicable consumer law.

Michigan law governs these Terms and disputes arising from them, without regard to conflict-of-law rules, except that this choice does not deprive you of non-waivable consumer protections provided by the law where you live.

Before filing a formal claim, you and BEH Labs agree to make a reasonable good-faith effort to resolve the dispute by contacting the other party. You may contact us at [email protected]. This informal step does not extend a legal deadline or prevent either party from seeking urgent relief.

These Terms do not require arbitration. A dispute may be brought in a court with lawful jurisdiction, including any court or forum that applicable non-waivable consumer law permits.

We may update these Terms to reflect changes to the Service, law, or our practices. We will post the updated Terms and update the date above. If a change materially affects your rights, we will provide additional notice through the app, by email, or by another reasonable method, and where reasonably practicable we will do so before the change takes effect. Continued use after updated Terms take effect means you accept them; if you do not accept them, you must stop using the Service, and you may request account deletion as described in the Privacy Policy.

If a provision is unenforceable, it will be modified only as much as needed to make it enforceable, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets, subject to applicable law.

We may give you notice under these Terms through the app, by email to the address on your account, or by posting it on our website, and you agree to receive those communications electronically. Keep your email address current: notice sent to the address on your account counts as given even if you no longer read it. Send notice to us at [email protected].

These Terms and the policies they expressly incorporate are the entire agreement between you and BEH Labs about the Service. They do not create third-party beneficiary rights. Questions may be sent to [email protected].
